Terms of Service

These Terms of Service ("Terms") govern access to and use of the software platform and related services (the "Service") provided by SDDL Solutions, LLC, a Texas limited liability company ("Company", "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. Description of the Service
The Service is a software platform that provides tools for engineering design, analysis, collaboration, and related data processing capabilities.
The Service is under active development and may evolve over time. Features may be modified, added, or removed.
2. Acceptance of Terms
By creating an account, clicking "I Agree", completing a subscription purchase, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Service.
If you are entering into these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
3. Accounts
To use the Service you must create an account.
You agree to:
- provide accurate account information
- maintain the confidentiality of your credentials
- be responsible for all activity under your account
You must notify us promptly of any unauthorized access.
4. Acceptable Use
Use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference.
5. Subscription and Fees
Access to the Service requires a paid subscription.
Pricing may be presented as a monthly rate but is billed annually in advance unless otherwise stated.
All fees:
- are non-refundable
- are exclusive of applicable taxes
- must be paid in advance of service periods
Failure to pay fees may result in suspension or termination of access.
6. License to Use the Service
Subject to these Terms and payment of applicable fees, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for internal business purposes.
You may not:
- copy, modify, or create derivative works of the Service
- reverse engineer or decompile the Service
- attempt to extract source code
- resell or sublicense the Service without permission
- interfere with operation of the platform
7. Intellectual Property
The Service, including all software, algorithms, models, interfaces, documentation, design elements, and related technology, are and remain the exclusive property of the Company and its licensors.
Except for the limited license granted under these Terms, no rights are granted to the Customer, whether by implication, estoppel, or otherwise.
Customer retains ownership of all data, content, models, designs, and other materials uploaded or created within the Service ("Customer Data").
Customer grants the Company a limited, non-exclusive license to process Customer Data solely for purposes of operating, maintaining, and improving the Service.
Company may collect and use aggregated or anonymized data derived from usage of the Service for purposes including system improvement, analytics, and service optimization, provided such data does not identify Customer or Customer Data.
Nothing in these Terms grants Customer any rights to Company trademarks, trade names, logos, or branding.
8. Customer Data
You retain ownership of all data you upload or create using the Service ("Customer Data").
You grant Company a limited license to process Customer Data solely for purposes of operating the Service.
You are responsible for ensuring that Customer Data complies with applicable laws.
The Service is intended for commercial data only. You agree not to upload:
- controlled unclassified information (CUI)
- ITAR-controlled data
- export-controlled information
- classified information
9. Data Retention
Upon termination or cancellation of a subscription, Customer Data will be retained for up to 30 days, after which it may be permanently deleted.
Customers are responsible for exporting or backing up data prior to termination.
10. Third-Party Services
The Service may rely on third-party infrastructure or services including hosting, payment processing, email delivery, monitoring, artificial intelligence services, and content delivery networks.
These services may include providers such as:
- Heroku
- Stripe
- Postmark
- AWS
- GitHub
- imgbb
- Bugsnag
- Anthropic
- OpenAI
- Cloudflare
- jsDelivr
Use of such services may be subject to their own terms.
11. Software Status
The Service may include experimental or early-stage functionality.
The Service may contain bugs, errors, or interruptions.
We may modify, suspend, or discontinue features at any time.
12. No Service Level Commitments
The Service is provided without any guaranteed uptime, availability, or support response time.
No service level commitments are provided unless explicitly stated in a separate written agreement.
13. Support
Company may provide support on a best-effort basis through documentation, community forums, or direct communication.
Support availability and response time are not guaranteed.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY
Company does not guarantee that the Service will be uninterrupted or error-free.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Company will not be liable for:
- lost profits
- lost data
- loss of business
- loss of goodwill
- indirect or consequential damages
Company's total liability arising from the Service will not exceed the total access fees paid by the customer during the three (3) months preceding the claim.
16. Termination
Company may suspend or terminate access if:
- fees are unpaid
- the Terms are violated
- use of the Service poses security risk
- required by law
Customers may cancel subscriptions at any time. Cancellation takes effect at the end of the current billing period.
17. Export Compliance
The Service may not be used in violation of U.S. export control laws.
Users may not access the Service from restricted countries or use it for prohibited purposes.
18. Indemnification
Customer agrees to indemnify, defend, and hold harmless the Company and its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
- Customer's use of the Service
- Customer Data uploaded or processed through the Service
- violation of these Terms
- violation of applicable laws or regulations
Company reserves the right to assume exclusive defense and control of any matter subject to indemnification, in which case Customer agrees to cooperate with the Company in asserting available defenses.
19. No Professional Advice
The Service provides software tools for data processing, modeling, and analysis.
The Service does not provide engineering, legal, financial, or other professional advice.
Customers are responsible for independently verifying the accuracy and suitability of any outputs, analyses, or results generated using the Service.
20. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
21. Changes to Terms
Company may update these Terms from time to time.
Continued use of the Service constitutes acceptance of updated Terms.
